HIP Code of Conduct and Anti-Corruption Policies

I. Preamble
The HIP Apresentacoes de Alto Impacto Ltda. (“HIP”, “We”, “Our” or the “Company”) is firmly committed to maintaining the highest standards of ethics, integrity, and professional conduct in all its business operations. This Code of Conduct and Anti-Corruption Policies (“Code”) sets forth guidelines that must be followed by all our employees, directors, consultants, contractors, suppliers, and business partners.
II. Legal Compliance
HIP and all individuals mentioned above are expected to comply with all applicable laws, regulations, and standards, at all levels of jurisdiction, where the Company operates, including but not limited to, the Brazilian Anti-Corruption Law (Law No. 12,846/2013), personal data protection laws (General Personal Data Protection Law – LGPD, Law No. 13,709/2018), and copyright and intellectual property laws.
III. Business Integrity and Anti-Corruption
HIP is committed to conducting all its business fairly, honestly, and transparently. We do not tolerate any form of bribery or corruption. We do not offer, accept, or facilitate bribes, kickbacks, or any other form of illicit benefit to obtain or maintain business or undue advantages.
IV. Conflicts of Interest
Individuals covered by this Code must avoid any situation that might cause a conflict between their personal interests and the interests of the Company. Any potential conflict of interest must be promptly disclosed and resolved appropriately.
V. Communication and Disclosure
We are committed to communicating openly, honestly, and accurately with all our stakeholders. This includes, but is not limited to, our financial and non-financial disclosures, as well as communications with our customers and business partners.
VI. Data Protection and Privacy
We are committed to protecting the privacy of the data of our clients, business partners, and employees, in compliance with all applicable laws and regulations.
VII. Fair Competition
HIP strives to compete fairly and ethically, complying with all antitrust and competition laws and regulations. We do not engage in unfair or deceptive trade practices and fully respect the intellectual property rights of others.
VIII. Workplace Environment
HIP promotes an inclusive workplace environment, respecting diversity and human rights, and does not tolerate any form of discrimination, harassment, or abuse.
IX. Reporting and Compliance
Any suspicion of violation of this Code should be immediately reported through our dedicated whistleblowing and clarification channel: fale@hip.ag. We ensure that all reports will be treated confidentially and investigated appropriately.
This Code is reviewed periodically and updated as needed. This version was last updated on July 3, 2023. All individuals covered by this Code are responsible for understanding and complying with its provisions.
